Objeto y aceptación

Estas condiciones regulan el acceso y el uso de poyntia.com, incluidas la portada, Poyntia Grid y las páginas de sector, y de sus contenidos (la «Web»). Al acceder a la Web o utilizarla, usted declara que ha leído y acepta estas condiciones; si no está de acuerdo, no la utilice.

La Web se dirige a empresas y profesionales. El acceso es gratuito, sin perjuicio del coste de su conexión a internet.

Si usted es cliente de Poyntia, el servicio y la plataforma que contrate se rigen por el contrato que firme, que prevalece sobre estas condiciones en todo lo relativo a ese servicio. El tratamiento de sus datos personales se rige por la Política de privacidad y el uso de cookies y almacenamiento local, por la Política de cookies.

La Web, el software, el motor, las interfaces, los diseños, los textos, las imágenes, las demos y el logotipo, así como su selección, estructura y organización, son titularidad de POYNTIA, S.L. o de sus licenciantes.

Derechos de autor

Esos contenidos están protegidos por la normativa de propiedad intelectual (Real Decreto Legislativo 1/1996, de 12 de abril, por el que se aprueba el texto refundido de la Ley de Propiedad Intelectual), incluidas, en su caso, las disposiciones sobre programas de ordenador (Título VII, art. 95 y siguientes) y sobre el derecho «sui generis» de los fabricantes de bases de datos (Título VIII, art. 133 y siguientes). Conforme al art. 17 de esa ley, la reproducción, distribución, comunicación pública y transformación de una obra no pueden realizarse sin autorización de su titular, salvo en los casos previstos en la ley.

Signos distintivos

«Poyntia» y su logotipo son signos distintivos de POYNTIA, S.L. Su uso, reproducción o imitación requieren autorización previa y por escrito. Los demás nombres, marcas y logotipos que aparezcan en la Web pertenecen a sus respectivos titulares y se mencionan únicamente para identificarlos.

Licencia de uso limitada

POYNTIA, S.L. le concede una licencia limitada, personal, no exclusiva, intransferible y revocable para acceder a la Web y consultar sus contenidos con fines profesionales y para evaluar nuestros servicios. Esta licencia no transmite ningún derecho de propiedad ni de explotación sobre los contenidos.

Usos prohibidos sin autorización escrita

Sin autorización previa y por escrito de POYNTIA, S.L., queda prohibido:

  • reproducir, distribuir, comunicar públicamente o poner a disposición del público, total o parcialmente, los contenidos de la Web;
  • transformarlos o crear obras derivadas a partir de ellos;
  • realizar ingeniería inversa, descompilar, desensamblar o intentar obtener el código fuente, los modelos, los procesos o el funcionamiento interno del software, de las interfaces o de las demos, salvo en la medida en que la ley lo permita de forma imperativa;
  • extraer contenidos o datos de la Web de forma masiva o sistemática (scraping, rastreo o uso de robots, arañas u otros medios automatizados);
  • enmarcar (framing) la Web o parte de ella, o incorporarla a otro sitio o aplicación;
  • utilizar los contenidos para entrenar o ajustar modelos de inteligencia artificial, o para crear conjuntos de datos o corpus;
  • eliminar o alterar los avisos de derechos, las marcas o la identificación del titular.

Reserva expresa de derechos de minería de textos y datos

POYNTIA, S.L. se reserva expresamente el uso de los contenidos de la Web para minería de textos y datos, de forma adecuada y legible por máquina (por ejemplo, mediante la declaración tdm-reservation del protocolo TDMRep). En consecuencia, no es aplicable a la Web la excepción de minería de textos y datos del art. 4 de la Directiva (UE) 2019/790 del Parlamento Europeo y del Consejo, de 17 de abril de 2019, cuyo apartado 3 la condiciona a que los titulares de derechos no hayan reservado expresamente ese uso, ni la del art. 67 del Real Decreto-ley 24/2021, de 2 de noviembre, que la incorpora al Derecho español y cuyo apartado 3 establece la misma condición.

Esta reserva se entiende sin perjuicio de las excepciones que la ley reconozca con carácter imperativo, como la minería de textos y datos con fines de investigación científica por organismos de investigación e instituciones responsables del patrimonio cultural (art. 67.4 del Real Decreto-ley 24/2021).

Secretos empresariales

El software, el motor, los métodos, los procesos, las configuraciones y las demostraciones no públicas de POYNTIA, S.L., así como la información técnica y comercial que no se haya hecho pública, constituyen o pueden constituir secretos empresariales en el sentido de la Ley 1/2019, de 20 de febrero, de Secretos Empresariales (art. 1.1). Su obtención, utilización o revelación sin el consentimiento de POYNTIA, S.L. puede ser ilícita (art. 3).

La consulta de las demos y de la Web no autoriza a obtener información técnica interna mediante observación sistemática, ensayo o ingeniería inversa: estas condiciones lo prohíben expresamente (art. 2.1.b de dicha ley).

Infracciones

Si considera que algún contenido de la Web vulnera derechos de terceros, escriba a la dirección de contacto del apartado 1 indicando el contenido, el derecho afectado y sus datos de contacto. Las infracciones de estas condiciones podrán dar lugar al bloqueo del acceso y a las acciones legales que correspondan.

Contenidos de terceros y fuentes oficiales

Las fuentes oficiales y públicas que se citan en la Web (por ejemplo, el Boletín Oficial del Estado, los boletines oficiales autonómicos y provinciales, los visores y los registros públicos) pertenecen a sus respectivos editores y se reutilizan conforme a sus propias condiciones.

Poyntia no es una fuente oficial, no está vinculada a ningún organismo público y no sustituye a la publicación oficial: ante cualquier discrepancia prevalece siempre el documento oficial. Los nombres, marcas y logotipos de terceros que puedan aparecer pertenecen a sus titulares.

Exclusión de garantías y de responsabilidad

  • Carácter informativo. La Web tiene carácter informativo y comercial y se ofrece «tal cual» y «según disponibilidad».
  • Demos. Las demos por sector son ejemplos ilustrativos con documentos y empresas ficticios. La demo de Poyntia Grid recorre una tarea real sobre documentos oficiales públicos. Ninguna contiene datos personales, promete resultados ni debe utilizarse para tomar decisiones.
  • Sin asesoramiento. Nada de lo que aparece en la Web constituye asesoramiento jurídico, urbanístico, técnico ni financiero. Consulte a un profesional cualificado antes de decidir.
  • Servicio contratado. Los resultados, los niveles de servicio y las responsabilidades del servicio que contrate se rigen por su contrato, no por la Web.
  • Exclusión. En la medida máxima que permita la ley aplicable, POYNTIA, S.L. no garantiza la exactitud, integridad, actualidad ni adecuación a un fin concreto de los contenidos, y no responde de los daños indirectos ni del lucro cesante que se deriven del acceso o uso de la Web o de la confianza depositada en sus contenidos. Cuando la ley no permita excluir una responsabilidad, quedará limitada al máximo que permita.

Nada de lo dispuesto en este aviso excluye ni limita la responsabilidad que no pueda excluirse o limitarse conforme a la ley, en particular la derivada de dolo.

Disponibilidad

No garantizamos que la Web esté disponible de forma continua ni libre de errores. Podemos suspender, modificar o retirar la Web, o parte de ella, de forma temporal o definitiva y sin previo aviso, por razones de mantenimiento, seguridad u otras. No respondemos de las interrupciones del servicio de terceros de los que depende la Web (alojamiento, redes de comunicaciones u otros).

Uso permitido, conducta y seguridad

Puede consultar la Web, imprimir o guardar estas páginas legales para uso propio y citar brevemente sus contenidos indicando la fuente, en la medida en que la ley lo permita. Usted se compromete a usar la Web de forma lícita y de buena fe y, en particular, a no:

  • emplearla con fines ilícitos o contrarios a estas condiciones;
  • intentar acceder a áreas, sistemas o datos que no sean públicos, ni eludir medidas de seguridad;
  • realizar pruebas de vulnerabilidad, escaneos o ataques sin autorización escrita;
  • sobrecargar la Web con peticiones automatizadas ni introducir virus o código malicioso;
  • suplantar la identidad de otra persona ni facilitar datos falsos o datos de terceros sin autorización.

Si detecta una vulnerabilidad, le agradeceremos que nos la comunique de forma responsable, en la dirección de contacto del apartado 1, antes de divulgarla. Podemos bloquear el acceso a quien incumpla estas condiciones.

Comunicaciones

Puede escribirnos mediante el formulario de contacto o por correo electrónico; trataremos sus datos conforme a la Política de privacidad. Esos mensajes no constituyen una oferta ni un contrato: el contrato sólo se perfecciona con un acuerdo escrito y firmado por ambas partes.

No envíe por esos medios información confidencial ni secretos de su empresa, ni datos personales de terceros, salvo que sea imprescindible.

Las comunicaciones comerciales que enviamos se identifican como tales y a POYNTIA, S.L. como remitente, e incluyen una forma sencilla y gratuita de dejar de recibirlas («baja»).

Modificaciones

Podemos modificar estas condiciones y el contenido de la Web en cualquier momento. La versión vigente es la publicada en esta página, con su fecha y su número; si usa la Web después de un cambio, se entiende que acepta la nueva versión. Si alguna cláusula fuera declarada nula o ineficaz, las demás seguirán vigentes. Que no exijamos el cumplimiento de una cláusula no supone renunciar a ella.

Ley aplicable y jurisdicción

Estas condiciones se rigen por la ley española. Para cualquier controversia derivada del acceso o uso de la Web, las partes se someten a los juzgados y tribunales de la ciudad de Murcia, con renuncia a cualquier otro fuero que pudiera corresponderles, salvo que la ley imponga imperativamente otro.

Antes de acudir a los tribunales, intentaremos resolver la controversia de forma amistosa: escríbanos a la dirección de contacto del apartado 1.

Idioma

Estas condiciones se publican en español y en inglés. Si hay discrepancia entre ambas versiones, prevalece la versión en español.

Purpose and acceptance

These terms govern access to and use of poyntia.com, including the home page, Poyntia Grid and the sector pages, and their content (the "Website"). By accessing or using the Website you declare that you have read and accept these terms; if you do not agree, do not use it.

The Website is aimed at companies and professionals. Access is free of charge, without prejudice to the cost of your internet connection.

If you are a Poyntia customer, the service and the platform you purchase are governed by the contract you sign, which prevails over these terms for everything relating to that service. The processing of your personal data is governed by the Privacy policy, and the use of cookies and local storage by the Cookie policy.

Intellectual and industrial property

The Website, the software, the engine, the interfaces, the designs, the texts, the images, the demos and the logo, as well as their selection, structure and arrangement, are owned by POYNTIA, S.L. or its licensors.

Copyright

That content is protected by Spanish intellectual property law (Royal Legislative Decree 1/1996 of 12 April approving the consolidated text of the Intellectual Property Act), including, where applicable, the provisions on computer programs (Title VII, Art. 95 et seq.) and on the "sui generis" right of database makers (Title VIII, Art. 133 et seq.). Under Art. 17 of that Act, the reproduction, distribution, communication to the public and transformation of a work may not be carried out without the rightholder's authorisation, except in the cases provided for by law.

Distinctive signs

"Poyntia" and its logo are distinctive signs of POYNTIA, S.L. Their use, reproduction or imitation requires prior written authorisation. All other names, trademarks and logos shown on the Website belong to their respective owners and are mentioned only to identify them.

Limited licence of use

POYNTIA, S.L. grants you a limited, personal, non-exclusive, non-transferable and revocable licence to access the Website and view its content for professional purposes and to evaluate our services. This licence does not transfer any ownership or exploitation right over the content.

Uses prohibited without written authorisation

Without the prior written authorisation of POYNTIA, S.L., it is prohibited to:

  • reproduce, distribute, communicate to the public or make available to the public, in whole or in part, the content of the Website;
  • transform it or create derivative works from it;
  • reverse engineer, decompile, disassemble or attempt to obtain the source code, models, processes or internal workings of the software, the interfaces or the demos, except to the extent that the law permits it mandatorily;
  • extract content or data from the Website in bulk or systematically (scraping, crawling or the use of robots, spiders or other automated means);
  • frame the Website or any part of it, or embed it in another site or application;
  • use the content to train or fine-tune artificial intelligence models, or to build datasets or corpora;
  • remove or alter rights notices, trademarks or the identification of the owner.

Express reservation of text and data mining rights

POYNTIA, S.L. expressly reserves the use of the Website's content for text and data mining, in an appropriate, machine-readable manner (for example, through the tdm-reservation declaration of the TDMRep protocol). Accordingly, the text and data mining exception in Art. 4 of Directive (EU) 2019/790 of the European Parliament and of the Council of 17 April 2019, paragraph 3 of which makes it conditional on rightholders not having expressly reserved that use, does not apply to the Website, nor does the exception in Art. 67 of Spanish Royal Decree-law 24/2021 of 2 November, which brings it into Spanish law and whose paragraph 3 sets the same condition.

This reservation is without prejudice to the exceptions that the law grants mandatorily, such as text and data mining for scientific research by research organisations and cultural heritage institutions (Art. 67(4) of Royal Decree-law 24/2021).

Trade secrets

The software, the engine, the methods, the processes, the configurations and the non-public demonstrations of POYNTIA, S.L., as well as technical and commercial information that has not been made public, are or may be trade secrets within the meaning of Spanish Law 1/2019 of 20 February on Trade Secrets (Art. 1(1)). Obtaining, using or disclosing them without the consent of POYNTIA, S.L. may be unlawful (Art. 3).

Viewing the demos and the Website does not authorise anyone to obtain internal technical information through systematic observation, testing or reverse engineering: these terms expressly prohibit it (Art. 2(1)(b) of that Law).

Infringements

If you believe that any content on the Website infringes third-party rights, write to the contact address in section 1 identifying the content, the right affected and your contact details. Breaches of these terms may lead to access being blocked and to the appropriate legal action.

Third-party content and official sources

The official and public sources cited on the Website (for example, the Spanish Official State Gazette (BOE), regional and provincial official gazettes, map viewers and public registers) belong to their respective publishers and are reused under their own terms.

Poyntia is not an official source, is not affiliated with any public body and does not replace the official publication: in case of any discrepancy, the official document always prevails. Third-party names, trademarks and logos that may appear belong to their owners.

Disclaimer of warranties and liability

  • Informational nature. The Website is informational and commercial and is provided "as is" and "as available".
  • Demos. The sector demos are illustrative examples with fictitious documents and companies. The Poyntia Grid demo walks through a real task on public official documents. None of them contains personal data, promises results or should be used to make decisions.
  • No advice. Nothing on the Website constitutes legal, planning, technical or financial advice. Consult a qualified professional before deciding.
  • Contracted service. The results, service levels and liabilities of any service you purchase are governed by your contract, not by the Website.
  • Exclusion. To the maximum extent permitted by applicable law, POYNTIA, S.L. does not warrant the accuracy, completeness, currency or fitness for a particular purpose of the content, and is not liable for indirect damages or loss of profit arising from access to or use of the Website or from reliance on its content. Where the law does not allow a liability to be excluded, it is limited to the maximum extent the law allows.

Nothing in this notice excludes or limits liability that cannot be excluded or limited by law, in particular liability arising from wilful misconduct.

Availability

We do not guarantee that the Website will be available continuously or error-free. We may suspend, modify or withdraw the Website, or any part of it, temporarily or permanently and without notice, for maintenance, security or other reasons. We are not liable for interruptions of third-party services on which the Website depends (hosting, communications networks or others).

Permitted use, conduct and security

You may view the Website, print or save these legal pages for your own use and briefly quote their content citing the source, to the extent the law allows. You agree to use the Website lawfully and in good faith and, in particular, not to:

  • use it for unlawful purposes or in breach of these terms;
  • attempt to access areas, systems or data that are not public, or circumvent security measures;
  • carry out vulnerability tests, scans or attacks without written authorisation;
  • overload the Website with automated requests or introduce viruses or malicious code;
  • impersonate another person or provide false data, or third-party data without authorisation.

If you find a vulnerability, we would appreciate it if you reported it responsibly, at the contact address in section 1, before disclosing it. We may block access for anyone who breaches these terms.

Communications

You can write to us through the contact form or by email; we will process your data in accordance with the Privacy policy. Those messages are neither an offer nor a contract: a contract is formed only by a written agreement signed by both parties.

Do not send confidential information or your company's secrets, or third parties' personal data, by those means unless it is essential.

The commercial communications we send are identified as such and identify POYNTIA, S.L. as the sender, and include a simple, free way to stop receiving them ("baja").

Changes

We may change these terms and the content of the Website at any time. The version in force is the one published on this page, with its date and number; if you use the Website after a change, you are deemed to accept the new version. If any clause is declared void or ineffective, the others remain in force. Our not enforcing a clause is not a waiver of it.

Governing law and jurisdiction

These terms are governed by Spanish law. For any dispute arising from access to or use of the Website, the parties submit to the courts of the city of Murcia, waiving any other forum that might correspond to them, unless the law mandatorily imposes another.

Before going to court, we will try to resolve the dispute amicably: write to us at the contact address in section 1.

Language

These terms are published in Spanish and English. If the two versions differ, the Spanish version prevails.
